LICENSE AGREEMENT BETWEEN YOU, THE USER, AND MASSACHUSETTS INSTITUTE OF TECHNOLOGY

IMPORTANT: PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE ACCESSING OR USING VIDEOS AVAILABLE FROM THIS MIT WORLD WEBSITE. MASSACHUSETTS INSTITUTE OF TECHNOLOGY ("MIT") IS WILLING TO LICENSE THESE MIT WORLD VIDEOS TO YOU, THE INDIVIDUAL USER ("YOU"), ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS OF THIS LICENSE AGREEMENT. BY CLICKING ON THE "AGREE" BUTTON BELOW OR PROCEEDING TO ACCESS OR USE THE MIT WORLD VIDEOS, YOU ARE AGREEING TO BE LEGALLY BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. THIS IS A LEGAL DOCUMENT THAT STATES THE TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE MIT WORLD VIDEOS. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT, CLICK ON THE "DECLINE" BUTTON OR OTHERWISE INDICATE REFUSAL, AND MAKE NO FURTHER USE OF ANY OF THESE MIT WORLD VIDEOS.

The Videos which are available for access and display from the MIT World website (the "Videos") and the accompanying media and materials including any software, images, graphics, photographs, animation, video, audio, music, text and documentation incorporated into the MIT World Website and the associated intellectual property rights, are owned by MIT or its licensors, and are protected by copyright and other applicable laws. Subject to the following, MIT grants to You a royalty-free, nonexclusive license to the Videos on its MIT World website solely for Your own personal, noncommercial, educational use under the terms of this license, and You may not use the Videos, in whole or in part, for any other purpose. You agree to provide proper attribution to MIT World and the licensors, authors and contributors of the MIT World Videos in accordance with standard academic citation practice.

1. Permitted Uses. There are two ways that Videos are made available to You from the MIT World Website: Streamed Videos or Downloadable Audio Files.

A. Streamed Videos. For those Videos which are designated as available only by video streaming (the "Streamed Video(s)"), You may personally view a video stream of a Streamed Video on an on-demand basis, from an internet browser accessed from a single computer owned, leased or otherwise controlled by you (or in the event of the inoperability of that computer, on a backup computer) running the media player, RealPlayer, and unless the Video is designated by MIT as also available as a Downloadable Audio Files, You may not download, copy or record the Streamed Videos.

B. Downloadable Audio Files. For those Videos for which the audio files are designated as available for downloading, (the "Downloadable Audio Files") in addition to the rights granted in Section 1.A. above, You may download the Downloadable Audio Files solely by means of digital audio transmission onto a single personal computer owned, leased or otherwise controlled by You (or in the event of the inoperability of that computer, on a backup computer), and make one copy of that Downloadable Audio File to a single laptop computer owned, leased or otherwise controlled by You and/or a single MP3 Player owned by You and that You connect to that computer via USB or FireWire port, so that You may personally access and use those Downloadable Audio Files on an on-demand basis.

MIT reserves all rights not specially granted to You in this Agreement. By example and not limitation, this means You cannot copy (except as expressly permitted in Section 1.B. above), transfer or distribute (including via file sharing or over a network where it could be used by multiple users), rent, sub-license, lease, alter, edit, modify or make derivative works of the Videos, in whole or in part, and You agree not to use the Videos with any technology that provides access to or use of the Videos in a manner inconsistent with this license.

2. Limitation of Liability/Disclaimer of Warranty.

The MIT World website and the Videos are an educational resource and are provided for Your personal, noncommercial, educational use only. The information on the MIT World Website and in the Videos is not intended, nor should it be relied upon, as the position, recommendation, advice or guidance of MIT on the topic addressed. Due to the rapidly changing nature of the subject matters of the Videos, the information on the MIT World Site or the Videos may become outdated. MIT has no obligation to continue to provide or maintain the Website or the Video(s), in whole or in part, or to provide support or updates to You. If MIT, in its sole discretion should elect to provide an updated version of a Video, you shall cease using the earlier version and destroy any copy.

NEITHER MIT NOR ITS LICENSORS OR CONTRIBUTORS OF ANY CONTENT FOR THE MIT WORLD VIDEOS MAKE ANY WARRANTY, EXPRESS OR IMPLIED, AS TO THE CORRECTNESS, COMPLETENESS, OR QUALITY OF THE MIT WORLD VIDEOS. THE VIDEOS ARE OFFERED "AS IS" WITH ALL FAULTS. MIT AND ITS LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING ANY VIDEO, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT, ACCURACY, THE ABSENCE OF VIRUSES OR WORMS WHETHER OR NOT DISCOVERABLE, OR THAT THE OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. IN NO EVENT SHALL MIT, ITS TRUSTEES, DIRECTORS, OFFICERS, FACULTY, STUDENTS, EMPLOYEES OR LICENSORS BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING ECONOMIC DAMAGES OR INJURY TO PROPERTY, PERSON OR LOST PROFITS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE), OR WHETHER THEY SHALL BE ADVISED, SHALL HAVE OTHER REASON TO KNOW OR IN FACT SHALL KNOW OF THE POSSIBILITY OF THE FOREGOING. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

3 Termination. This License and the rights granted hereunder will terminate automatically in the event You breach any term of this license. In addition, MIT reserves the right to termination this license for any reason upon notice provided to You personally or via the MIT World Website. Upon termination, You must destroy all copies of the Videos, in whole or in part. Sections 2, 3, 5, 6 and 7 of this license shall survive termination.

4. Governing Law. This License Agreement shall be construed and governed in accordance with the laws of the Commonwealth of Massachusetts and applicable United States federal law (without regard to such laws governing choice of law), and English is the governing language of this Agreement.

5. No Use of MIT Name. You shall not use the name or logo of M.I.T. or any variation, adaptation, or abbreviation thereof, or of any of its trustees, officers, faculty, students, employees, or agents, or any other trademark owned by MIT, in any advertising or other form of publicity without the written permission of the Director of the MIT's News Office.

6. Miscellaneous. This Agreement constitutes the entire agreement between MIT and You with respect to the Videos and supersedes all prior or contemporaneous understandings regarding such subject matter. This Agreement may be amended or modified by MIT at any time effective immediately upon notice to You, including via posting on the MIT World website. Use of any Video after such notice shall be deemed to be your acceptance of such changes. In addition, title and intellectual property rights in and to certain content displayed in the Videos belongs to the respective third party content provider, and is licensed to MIT and is subject to terms of use of the third party providing such content, and MIT does not guarantee that such content will continue to be available to You. The failure of MIT to enforce any rights granted in this Agreement or to take action against You in the event of any breach shall not be deemed a waiver by MIT as to subsequent enforcement of its rights or subsequent actions by it in the event of future breaches.
